Partner Terms
Last updated 12 October 2026
These terms apply to shops ("partners") that sell on Happy SI, operated by Happy Super Intelligence. They add to the Terms of Use. By opening a shop you accept both, on behalf of yourself and the business you represent.
1. Joining and verification
Happy SI is curated. We may ask you, before or after your shop goes live, for documents that confirm who you are and that your business is genuine, such as:
- a national ID or passport for the owner;
- business registration, a trading licence or permit where your business needs one;
- your KRA PIN;
- a working phone number and email, and where you have them, a website or social media pages.
We decide whether to approve a shop and may decline, pause or remove one that doesn't meet our standards. Keep your details up to date and tell us if anything material changes.
2. You are the seller
Happy SI connects you with customers; it does not buy or resell your products. Each sale is a contract between you and the customer, and you are responsible for:
- accurate product listings, prices, photos and stock levels;
- the quality, safety and legality of what you sell;
- fulfilling accepted orders promptly and as described;
- your own returns and refund policy, applied fairly and in line with Kenyan consumer law;
- your taxes, licences and any legal obligations of your business;
- the riders you add to your shop, and the deliveries they make.
3. What you may not sell
Anything illegal in Kenya, counterfeit or stolen goods, weapons, drugs, and anything requiring a licence you don't hold (for example alcohol, tobacco or medicines). We remove listings and may suspend shops that break this rule, and may report unlawful activity to the authorities.
4. Dealing with customers
Answer customers promptly and courteously and resolve problems with your orders directly. Use customer details only to fulfil their orders and provide related service. Don't send marketing to customers who haven't agreed to it, and don't share their data with anyone else.
5. Fees
Your fees are set out in your Fee Schedule, shown in your shop dashboard under Shop settings. It forms part of these terms and covers:
- Free start: an introductory period after your shop goes live with no subscription fee.
- Subscription: after the free period, a monthly subscription priced in US dollars. We will confirm the amount and how to pay before your free period ends, and you can close your shop instead.
- Commission: a percentage of the price of each product sold through Happy SI.
Your Fee Schedule is confidential between you and Happy SI; please don't publish it.
Where Happy SI collects a customer's payment on your behalf, we pay it out to you after deducting fees owed. We will give at least 30 days' notice before changing fees.
6. Suspension and closing
We may suspend a shop immediately for suspected fraud, prohibited items, serious or repeated complaints, or failed verification; a suspended shop is hidden from customers and its owner cannot sign in. You may close your shop at any time by emailing support@happysi.co.ke; orders already accepted must still be fulfilled or refunded, and fees already owed remain due.
7. Your content
You keep ownership of your shop name, logo, photos and descriptions. You allow us to display them on Happy SI, in WhatsApp messages and in promotion of your shop on the platform. You confirm you have the right to use everything you upload.
8. Responsibility
You are responsible for claims arising from your products, listings, deliveries and dealings with customers, and agree to cover our reasonable costs if a claim is brought against us because of them. To the extent the law allows, we are not liable for lost sales or profits, including during downtime.
